One Opportunity Can Support Different Structures
Representation, JV, SPV, project-specific protection, revenue share and technology deployment are tools. The structure should follow the commercial reality, not the other way around.

Representation, JV, SPV, project-specific protection, revenue share and technology deployment are tools. The structure should follow the commercial reality, not the other way around.
The right structure depends on who owns the technology, who provides capital, who carries operating risk, who contracts with the customer and how the business earns revenue.
A partner should not receive economics merely for appearing in the structure. The commercial model should reflect real contribution, risk and responsibility.
What cash is committed, when, to which defined use and under whose control?
Who hires, manages, sells, services, maintains, executes and bears day-to-day operating responsibility?
Who owns the IP, gives technical authority, supports application engineering and remains accountable for performance?
A short route protects both parties from building a complicated company around an unproven idea.
Agree on the opportunity and what evidence would prove it.
Define what each side brings and which costs or risks each side carries.
Where possible, validate demand or execution through a controlled first opportunity.
Formalise the representation, JV, SPV or long-term model after the economics and responsibilities are clearer.
If you already have a preferred model, share it. If not, begin with the opportunity and contribution of each party.
